Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 14, 2018, Altair Engineering Inc. (the Company) held its Annual Meeting of Stockholders (the Annual Meeting). The matters voted on at the Annual Meeting were: (i) the election of directors, and (ii) the ratification of the appointment of the Companys independent registered public accounting firm. The proposals are described in detail in the Companys definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on April 26, 2018. The final voting results were as follows:

Boyce, James Brancheau and Jan Kowal, as Class I directors of the Company to serve a three-year term expiring at the 2021 annual meeting and until his or her successor has been duly elected and qualified, or, if sooner, until the directors death, resignation or removal.|
